Terms of Service

1. Agreement to Terms

By accessing or using the YoAdvait Studio website and services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services. These terms apply to all visitors, users, and clients who access or use our platform.

2. Services Description

YoAdvait Studio provides custom AI/ML development, audio DSP solutions, VST/AU plugin development, and full-stack web application development services. Our services include:

• VST Plugin Development
• AI System Development
• Complete AI Solutions
• Enterprise AI Platforms
• Custom project development based on client requirements

3. Payment Terms

Milestone-Based Payments: Payments are structured in milestones as agreed in the project contract. Common payment schedules include:

• 50-50: 50% upfront, 50% upon completion
• 33-33-34: Three milestone payments
• Custom schedules as negotiated

External Payments: Payments may be processed through external platforms (Razorpay, PayPal, bank transfer). Work on each milestone begins only after payment confirmation is received and verified by the freelancer.

4. Intellectual Property

Upon full payment, clients receive full ownership of the custom code and deliverables created specifically for their project. Pre-existing intellectual property, third-party libraries, and reusable components remain the property of their respective owners. Specific IP terms will be outlined in the project contract.

5. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary information shared during the project. This includes but is not limited to business strategies, technical specifications, and source code. Confidentiality obligations survive the termination of any agreement.

6. Project Modifications

Changes to project scope after contract signing may result in timeline adjustments and additional charges. All modifications must be agreed upon in writing through the platform's messaging system or email. Significant scope changes may require a new project agreement.

7. Limitation of Liability

YoAdvait Studio's liability is limited to the amount paid for the specific service. We are not liable for indirect, incidental, or consequential damages. We provide deliverables "as specified" in the project agreement and do not guarantee specific business outcomes or revenue results.

8. Cancellation & Refunds

Projects may be cancelled by either party with written notice. Refund policy:

• Before work begins: Full refund minus payment processing fees
• Work in progress: Prorated refund based on work completed, documented with deliverables
• After milestone completion: No refund for completed milestones

9. Dispute Resolution

Any disputes will first be addressed through good-faith negotiation. If unresolved, disputes will be settled through arbitration in accordance with Indian law. The venue for any legal proceedings shall be New Delhi, India.
